Podcast SEO commercial contracts: terms England shows should check
A guide to the contract terms England podcast teams should check before signing SEO work, covering data protection, sponsorship disclosure and payment.
What to take away
- A Leeds show recorded in a spare room and a London agency face the same four terms in podcast SEO commercial contracts: scope, data, disclosure and payment.
- Data protection duties sit with whoever decides why listener data is processed.
- Sponsorship and host-read ads fall under the CAP Code, whether a host or an announcer reads the script.
- The criteria below are terms that recur in England-facing SEO contracts and carry a legal consequence if missing.
- This is general guidance only. Individual cases need a qualified adviser, and Scotland, Wales and Northern Ireland can diverge on some points.
Deliverables, not billable hours
A contract selling "SEO support" leaves both sides guessing. Name the artefacts: episode page optimisation, show notes templates, schema markup, internal linking rules and reporting format.
SEO deliverables to name
- Episode page optimisation
- Show notes templates
- Schema markup
- Internal linking rules
- Reporting format
- Feed ownership stated
Tie each artefact to a checkable state. "Twenty episode pages updated with a transcript and a structured data block" can be verified, while "improved visibility" cannot.
If the supplier also handles discovery across directories, say which ones and who owns the feed. Feed ownership is the most contested point when a contract ends.
The data controller clause
Under the Data Protection Act 2018, someone must be accountable for the personal data you collect from listeners and subscribers. That is usually your production company, or you as a sole trader.
Write the controller and processor roles into the contract. State retention periods, your lawful basis, and what happens to exported audience files at the end of the engagement.
The ICO's data protection and journalism code of practice is the reference point for editorial processing. Read it before agreeing to any analytics sharing clause.
For the listener-facing wording of the same arrangement, our guide to a podcast SEO disclosure policy in England sets out what to publish.
Sponsorship and host-read clauses
Any paid promotion inside an episode falls under the advertising codes published by the ASA. The CAP Code applies to ads in podcasts, and listeners must be able to tell advertising from editorial.
Your contract should state who writes the disclosure line, where it sits, and who checks it. If the sponsor supplies copy, say who approves the wording.
Worked example: a £2,400 engagement
Suppose a Manchester show pays a freelance SEO consultant £400 a month for six months, £2,400 in total. The scope covers thirty episode pages, a schema template and monthly reporting.
Add the clauses that cost nothing to draft and plenty to fix later. The consultant is named processor, the show controller, with retention at twelve months for analytics exports. Disclosure wording is approved before each sponsored episode goes live.
If retention is omitted, the show may hold personal data longer than it can justify, and the ICO can act on that. The £2,400 fee is illustrative, not a market rate.
Payment tied to milestones
Split fees so money follows delivered work: a deposit, a payment on template sign-off, and a final payment on the reporting handover.
Say what happens if the show cancels mid-engagement and whether unused episode credits roll over. Say who keeps the schema template and the rewritten show notes.
Platform and advertising duties sit outside the contract, so our UK rules and compliance guide for 2027 covers what a contract cannot discharge.
Common questions
Does an England podcast need a written SEO contract?
Not by law, but a written record helps if a dispute reaches court. It also evidences the controller and processor roles that data protection rules expect.
Who owns the optimised episode pages?
The show normally owns them, because the pages sit on its site. Say so explicitly, and note whether the supplier can reuse anonymised templates elsewhere.
Can a sponsor dictate the SEO wording?
The sponsor can approve advertising copy, but the show remains responsible for CAP Code compliance. Editorial decisions about episode pages should stay with the publisher.
What if the supplier is based outside England?
Data protection duties can still follow the listener. Take advice on transfers, and keep the governing law and jurisdiction clause explicit rather than assumed.
